1. Acceptance of Terms

By accessing or using SaleDivine (the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the Service.

2. Description of Service

SaleDivine provides a multi-channel customer relationship management platform that unifies SMS, email, voice, live chat, and contact forms into a single inbox, with pipeline management, routing, and team collaboration features.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to use the Service to:

  • Send spam, unsolicited bulk messages, or unlawful communications
  • Violate any applicable law, including TCPA, GDPR, CAN-SPAM, or telecom regulations
  • Harass, abuse, or harm others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to any systems or accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or sublicense the Service without our written permission

5. Third-Party Services

The Service integrates with third-party providers including Twilio, SendGrid, and GoHighLevel. Your use of those services is subject to their respective terms. We are not responsible for outages or actions of third-party providers.

6. Customer Data

You retain ownership of all data you upload to the Service. By using the Service, you grant us a limited license to:

  • Store and process your data to provide the Service
  • Create backups for disaster recovery
  • Aggregate anonymized usage data to improve the Service

You are responsible for ensuring you have the legal right to collect and store contact data, and for complying with consent and opt-out laws.

7. Subscription and Payment

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.

8. Termination

You may cancel your account at any time. We may suspend or terminate your access if you:

  • Breach these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

Upon termination, you may export your data for 30 days, after which it may be permanently deleted.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALEDIVINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold SaleDivine harmless from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

12. Modifications to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. We will notify you of material changes via email or in-app notification.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which SaleDivine is registered, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction.
